Terms and Conditions of Use

Preamble

These Terms and Conditions of Use (hereinafter "T&C") govern access to and use of the SUNALA platform, accessible at sunalaa.com, as well as all associated services including the $SNL points system, SUNALA Academy, the multi-level referral programme and all mobile applications or extensions linked to the project.

SUNALA is a project operated by SUNALA UAB, a company in the process of registration in the Republic of Lithuania, whose registered office will be established in Vilnius, Lithuania, in accordance with the European MiCA (Markets in Crypto-Assets) regulatory framework and the directives of the European Banking Authority (EBA).

  • Any use of the platform constitutes irrevocable acceptance of these terms
  • If you do not accept these terms, you must immediately cease using the platform
  • SUNALA reserves the right to modify these T&C at any time with prior notification
  • The version in force is always the one published at sunalaa.com/cgu

ARTICLE 01

Article 1 — Definitions

Platform : The website sunalaa.com and all its associated applications (mobile, extension).

User : Any individual aged at least 18 years who has created an account on the Platform.

SUNALA Points : Virtual units accumulated by Users through their activities on the Platform, without direct monetary value prior to the launch of the $SNL Token.

Token $SNL : The SUNALA project's utility cryptocurrency, whose launch is planned after the pre-launch phase.

Agricultural NFTs : Non-fungible tokens representing rights over agricultural assets tokenised via the Platform.

SUNALA Academy : A paid training programme offered by SUNALA UAB on decentralised finance and cryptocurrencies.

Partners : Users who have subscribed to an active plan or programme enabling them to earn referral commissions.

Farm Node : A virtual node representing a stake in the Platform infrastructure, entitling the holder to additional SUNALA Points.

Content : Any information, text, image, video or data published on the Platform by SUNALA UAB or Users.

ARTICLE 02

Article 2 — Access to the Platform and Account Creation

2.1 Access conditions

Access to the Platform is free. Users must be at least 18 years old. Some services are paid (Academy, Agricultural NFTs, Farm Nodes).

2.2 Account creation

Creating an account requires a valid email address and a secure password. The User agrees to:

  • Provide accurate and up-to-date information
  • Maintain the confidentiality of their login credentials
  • Immediately notify SUNALA of any unauthorised access to their account
  • Create only one account per individual
  • Not create an account on behalf of a third party without authorisation

2.3 Identity Verification (KYC)

Identity verification is mandatory for any points conversion exceeding the defined threshold, in compliance with AMLD6 directives and the MiCA regulation. Users residing in countries subject to international sanctions are excluded from certain services.

ARTICLE 03

Article 3 — SUNALA Points System

3.1 Nature of Points

SUNALA Points are virtual units with no direct monetary value prior to the official launch of the $SNL Token. They do not constitute electronic money, a payment instrument or a financial security.

3.3 Points Conversion

The conversion rate is fixed at 1,000 points = 1 $SNL. Points not converted within 90 days of the conversion window opening expire permanently.

ARTICLE 04

Article 4 — Multi-Level Referral Programme

On each Academy purchase (35 USD), 25 USD is redistributed to the referral network across 6 levels:

4.2 Anti-abuse rules

  • Self-referral is strictly prohibited and results in immediate account deletion
  • Creating fictitious accounts to generate commissions is prohibited
  • SUNALA reserves the right to suspend commissions in case of suspicious behaviour
  • Commissions are only paid on validated, non-refunded purchases

ARTICLE 05

Article 5 — SUNALA Academy — Training and Paid Services

Price: 35 USD — One-time payment

5.1 Included content

  • Lifetime access to training modules
  • Content updates included
  • Weekly live sessions and monthly webinars
  • Access to the private SUNALA community
  • Completion certificates
  • Bonus of +200 SNL points upon enrolment

5.2 Refund policy

A full refund can be requested within 14 calendar days of purchase, unless the first training module has been accessed.

ARTICLE 06

Article 6 — Intellectual Property

All Platform content (texts, logos, graphics, code, training materials, trademarks) is the exclusive property of SUNALA UAB. It is prohibited to:

  • Reproduce or copy any content without written authorisation
  • Modify, adapt or create derivative works
  • Distribute or sell SUNALA content to third parties
  • Use SUNALA trademarks for commercial purposes without a licence
  • Extract Platform data through scraping or any automated process

ARTICLE 07

Article 7 — Prohibited Conduct and Sanctions

The following behaviours result in immediate account suspension or deletion:

  • 01Use of bots, scripts or automated tools to generate points
  • 02Creating multiple accounts or falsifying identity
  • 03Attempting to hack, inject code or launch DDoS attacks
  • 04Manipulating the referral system or missions
  • 05Publishing illegal, hateful or rights-infringing content
  • 06Unauthorised resale of SUNALA points or accounts
  • 07Non-compliance with KYC/AML procedures
  • 08Any activity contrary to applicable laws in the EU or the User's country of residence

ARTICLE 08

Article 8 — Cryptocurrency Risks

The User acknowledges being informed of the risks inherent in digital assets:

Volatility

The value of the $SNL Token may fluctuate significantly upward or downward.

Total loss

The value of the $SNL Token may fall to zero without any recourse.

Regulatory

Regulatory changes may affect the availability or use of the Token.

Technical

Bugs, vulnerabilities or attacks may affect the Platform or smart contracts.

Liquidity

There is no guarantee of liquidity for the $SNL Token on markets.

Delay

The $SNL Token launch timeline may be modified depending on regulatory constraints.

SUNALA does not provide financial, tax or legal advice. Any investment decision is the sole responsibility of the User.

ARTICLE 09

Article 9 — Limitation of Liability

SUNALA UAB cannot be held liable for damages resulting from:

  • Temporary or permanent unavailability of the Platform
  • Data loss due to a technical incident beyond our control
  • Fluctuations in the value of the $SNL Token after its launch
  • Actions or omissions of third-party providers (hosting, payment processors)
  • Fraudulent use of a User's account by a third party
  • Indirect, consequential or punitive damages of any nature

In any event, SUNALA UAB's total liability is capped at the amount paid by the User during the 12 months preceding the damage.

ARTICLE 10

Article 10 — Applicable Law and Jurisdiction

These T&C are governed by Lithuanian law and applicable European law, in particular the MiCA regulation, GDPR and the DSA regulation.

In the event of a dispute, the parties agree to seek an amicable resolution within 30 days. Failing that, the competent courts of Vilnius, Lithuania, shall have exclusive jurisdiction.

This clause does not deprive consumers residing in the EU of the protection afforded by the law of their country of residence.

ARTICLE 11

Article 11 — Termination and Account Deletion

Users may close their account at any time by sending a request to support@sunalaa.com.

Consequences of closure:

  • Unconverted points are permanently lost
  • Access to paid services (Academy) ceases immediately
  • Data is retained according to applicable legal periods (see Privacy Policy)
  • Referral commissions not yet paid at the time of closure are cancelled

SUNALA reserves the right to suspend or delete any account without notice in case of violation of these T&C.
